Flender has signed an agreement with the Finnish technology group Wärtsilä to acquire the wind and industrial gearbox service business of Wärtsilä Brasil. To facilitate the transaction, Flender has established Flender Brasil as a subsidiary that will receive the assets once closing is completed, subject to approval by the Administrative Council for Economic Defence (CADE), the Brazilian antitrust authority.
The deal remains subject to final, unconditional approval by CADE and other customary conditions. Until closing, Flender and Wärtsilä will continue to operate independently with no changes for customers, suppliers, pricing, or staff.
The acquisition includes Wärtsilä’s gearbox service business and its facility in Cabo de Santo Agostinho, thirty-five kilometres south of Recife. Opened in 2022, the five thousand square metres workshop is equipped with multiple overhead cranes and wind gearbox testing capabilities. Flender plans to use the site primarily to support the region’s growing installed base of wind energy. Wärtsilä will maintain a presence at the facility to support its Marine and Energy operations.
The agreement was signed on 18 August 2025. Regulatory approval is expected by late 2025 or early 2026, with closing to follow.
