RWE has entered into a long-term partnership with Apollo Global Management to secure funding for its 25.1% stake in Amprion. The transaction is expected to close in the fourth quarter of 2025, subject to regulatory approval. The joint venture will support Amprion’s grid expansion plans.

Under the agreement, Apollo, through its managed funds and entities, will provide €3.2 billion to RWE in exchange for an equity interest in a newly established joint venture. The joint venture will hold RWE’s 25.1% stake in Amprion. RWE will receive the funds upfront and reinvest proceeds into Amprion through the joint venture as required for grid expansion. RWE will retain operational control and continue to manage the Amprion stake, while dividends from Amprion will be shared with Apollo.

Amprion is one of Germany’s four transmission system operators and runs the transmission grid across seven federal states, serving around 29 million people. The operator plans extensive grid investments over the next decade to strengthen energy infrastructure.
